Wholesale Partner Agreement

This Agreement applies only to partners whose wholesale application has been reviewed and approved, and only to bulk orders placed through the wholesale flow. It does not change the terms that apply to ordinary retail purchases.

By submitting a wholesale partner application, you accept this Agreement at the version in effect at the time of submission. The exact version you accept, together with the acceptance timestamp, is recorded as immutable evidence and is never rewritten by later versions of this Agreement.

Wholesale eSIM units are final sale once successfully delivered. "Delivered" means the eSIM has been successfully provisioned and its install/activation credentials have been issued to the partner's account.

Delivered units are non-refundable and cannot be returned, cancelled, or submitted through any RMA (return merchandise authorization) process. There is no partner-initiated refund, return, or cancellation for delivered wholesale units.

Automatic refunds are available only for units that were never successfully delivered. If part of a bulk order fails, only the undelivered units are automatically refunded at their frozen order price; successfully delivered units remain final sale.

No partner action is required to obtain the automatic refund for genuinely undelivered units — the system reconciles the order and returns the amount charged for those units. This is the only refund mechanism in the wholesale workflow.

Wholesale pricing quotes, order pricing snapshots, and issued invoices are immutable once created and are retained as the authoritative record of each transaction. Amounts are never altered after issuance.

An automatic undelivered-unit refund is reflected against the same order and its invoice; it does not modify the original immutable pricing snapshot or invoice.

All fraud-prevention, risk, and compliance safeguards that apply to purchases continue to apply to wholesale partner transactions. We may suspend or terminate partner access for violations of this Agreement, the Terms of Use, or applicable law.
